By accessing or using ZetPad ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, then you may not access the Service.

ZetPad is an AI-powered workspace platform that enables users to organize projects, manage teams, and collaborate on various tasks. The Service includes features such as:

  • Templates and integrations

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts

5. Intellectual Property Rights

5.1 Our Rights

The Service and its original content, features, and functionality are owned by ZetPad and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Your Content

You retain ownership of any content you create, upload, or submit to the Service ("Your Content").

By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display Your Content, solely for the purpose of operating, providing, maintaining, and improving the Service, and as directed by you through your use of the Service.

You represent and warrant that you own or have the necessary rights to Your Content and that Your Content does not infringe any third-party rights.

6. Copyright Infringement (DMCA)

We respect the intellectual property rights of others and expect users to do the same. If you believe that content hosted on the Service infringes your copyright, you may submit a written notice to copyright@zetpad.com including:

  • Identification of the copyrighted work claimed to be infringed
  • Identification of the allegedly infringing content
  • Your contact information
  • A statement that you have a good-faith belief the use is unauthorized
  • A statement, under penalty of perjury, that the information is accurate

We may remove or disable access to infringing content and may terminate accounts of repeat infringers in accordance with applicable law.

7. Payment Terms

6.1 Subscription Plans

Certain features of the Service may require payment. By subscribing to a paid plan, you agree to pay the fees specified at the time of purchase. Fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except as required by law.

6.2 Price Changes

We reserve the right to modify our pricing at any time. We will provide notice of any price changes, and you may cancel your subscription before the changes take effect.

6.3 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will continue to have access to paid features until the end of your billing period.

8. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices regarding the collection and use of your information.

9. Disclaimers and Limitation of Liability

9.1 Service Availability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

9.2 Limitation of Liability

To the maximum extent permitted by law, ZetPad shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless ZetPad and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any rights of another.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ZetPad operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the appropriate courts of that jurisdiction.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
